Community Cloud Platform · Version 1.0
Terms of Service
Effective date · To be confirmed
1. Acceptance of Terms
Welcome to Community Cloud Platform ("Community Cloud," "MCC," the "Platform," or the "Services"), a digital community-management platform operated by [FULL REGISTERED LEGAL NAME], doing business as Mashi Digital ("Mashi Digital," "we," "us," or "our").
These Terms of Service ("Terms") constitute a legally binding agreement between Mashi Digital and each person or organization accessing or using the Services ("you" or "User").
By creating an account, selecting "I Agree," accessing the Platform, or using any Services after being presented with these Terms, you agree to be bound by them and acknowledge our Privacy Policy.
If you do not agree, you must not use the Services.
If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to applicable agreements. Otherwise, you act solely in your individual capacity.
Additional terms may apply to particular features, paid services, or independently governed communities. In the event of conflict, the applicable written agreement will control only within its expressly defined scope.
2. Description of the Platform
Community Cloud Platform provides technology for establishing, discovering, joining, organizing, and managing communities, associations, chapters, clans, committees, organizations, and related entities.
Features may include:
- Global user registration and authentication.
- Community discovery and membership applications.
- Membership review and approval.
- Community and chapter administration.
- Meetings, audio, video, chat, and recordings.
- Discussions and community announcements.
- Events and scheduling.
- Elections and governance tools.
- Donations or payment-related integrations, where enabled.
- Notifications and administrative workflows.
- Community proposals and platform approval processes.
Features may vary by jurisdiction, subscription, community configuration, device, and availability.
Mashi Digital may introduce, modify, restrict, suspend, or discontinue features, subject to applicable law and binding contractual commitments.
The Platform is a technology service. It is not itself a government body, tribal authority, cultural association, political organization, financial institution, or representative of any community unless expressly identified as such.
3. Eligibility and Age Requirements
You must be at least eighteen (18) years old to register for or use the Platform.
By registering, you represent and warrant that:
- You are at least 18 years old.
- Your registration information is accurate and current.
- You have legal capacity to accept these Terms.
- You are not prohibited by applicable law from using the Services.
- Your use of the Services complies with applicable laws.
We may request additional age or identity verification when reasonably necessary for security, legal compliance, or platform integrity.
Phone OTP verification confirms control of a phone number at the time of verification. It does not, by itself, establish a person's legal identity, age, nationality, ethnicity, clan affiliation, or community membership.
We may deny or terminate accounts that fail eligibility requirements.
The Platform is not intended for minors. If we determine that an account belongs to a person under 18, we may suspend the account and take appropriate steps to delete or restrict associated information, subject to applicable legal obligations.
4. Global Accounts and Community Membership
Each User maintains a global MCC account administered through the Platform.
Creating an account or verifying a phone number does not automatically make a User a member of any particular community.
Community membership is a separate process governed by the relevant community's authorized administrators and applicable rules.
Users may request membership in multiple communities, chapters, or other entities.
Membership requests may be approved, rejected, suspended, or revoked according to applicable governance rules, platform safety requirements, and law.
Mashi Digital does not guarantee admission, continued membership, leadership appointments, or favorable decisions by community administrators.
Where community decisions are independently made, the relevant community is responsible for its own governance decisions, subject to applicable law and Mashi Digital's platform-wide policies.
Mashi Digital retains the right to intervene where reasonably necessary to address security risks, unlawful conduct, fraud, abuse, or violations of these Terms.
5. Account Security
You are responsible for maintaining the confidentiality of your authentication credentials and protecting access to your devices.
You agree to:
- Provide accurate registration information.
- Protect OTP codes, passwords, and recovery credentials.
- Notify Mashi Digital promptly of suspected unauthorized access.
- Avoid sharing or transferring your account.
- Use the Platform only through authorized access methods.
Mashi Digital may implement device-trust controls, multifactor authentication, session expiration, account recovery, and other security protections.
Trusted-device status does not guarantee permanent access or exemption from additional verification.
We may revoke sessions, require reauthentication, or restrict access when reasonably necessary for security or compliance.
You are responsible for activity attributable to your account to the extent permitted by law, but you are not automatically responsible for unauthorized activity caused by Mashi Digital's own failure to meet applicable legal obligations.
6. Community Creation and Proposals
Users may submit proposals to create communities, organizations, chapters, clans, committees, subcommunities, and other permitted entities.
Submission does not guarantee approval.
Mashi Digital may establish and enforce policies concerning:
- Eligibility to submit proposals.
- Number of tenant proposals per User.
- Maximum number of child entities.
- Parent-community requirements.
- Duplicate or misleading names.
- Documentation and verification.
- Administrative qualifications.
- Compliance and safety considerations.
Mashi Digital may approve, reject, request additional information about, or withdraw approval of a proposal based on reasonable platform-governance criteria.
A proposed entity does not become an active tenant or community until properly approved and provisioned.
Users must not falsely claim that an unapproved entity has official recognition, endorsement, or legal status.
Approval to operate on the Platform does not constitute governmental recognition, incorporation, tax-exempt status, or endorsement of the community's political, cultural, or religious positions.
7. Community Administrators and Governance
Community administrators may be authorized to manage membership, leadership roles, content, meetings, and other community functions within their assigned scope.
Administrators must:
- Act within their authorized permissions.
- Follow applicable law and published community rules.
- Protect member information.
- Avoid discriminatory, fraudulent, retaliatory, or abusive conduct.
- Maintain appropriate confidentiality.
- Avoid misrepresenting their authority.
- Refrain from unauthorized collection or disclosure of personal information.
A community administrator is not automatically an employee, agent, partner, or legal representative of Mashi Digital.
Community governance decisions remain the responsibility of the relevant community or decision-maker unless Mashi Digital expressly assumes responsibility under a separate written agreement.
Mashi Digital may suspend administrator access or impose platform-level restrictions to protect users, comply with law, or enforce these Terms.
Communities that independently determine how member data is used may have additional privacy and legal responsibilities.
8. Acceptable Use and Prohibited Conduct
You agree not to use the Platform to:
- Violate applicable laws or regulations.
- Threaten, harass, stalk, intimidate, or abuse others.
- Incite violence or promote violent extremism.
- Engage in unlawful discrimination or targeted hateful conduct.
- Commit fraud, impersonation, identity theft, or financial deception.
- Publish another person's private information without lawful authority.
- Share illegal, exploitative, or nonconsensual intimate content.
- Distribute malware or interfere with Platform security.
- Circumvent authentication, authorization, or tenant isolation.
- Access data or systems without authorization.
- Send spam or unauthorized commercial communications.
- Manipulate elections, votes, memberships, or governance records through fraud or unauthorized access.
- Create misleading or fraudulent communities.
- Record or disclose private communications unlawfully.
- Infringe intellectual-property or privacy rights.
- Misuse donations, payments, or fundraising functionality.
- Use automated systems to scrape, harvest, or abuse Platform data without authorization.
You must not use cultural, ethnic, clan, regional, or community affiliation as a pretext for threats, harassment, unlawful discrimination, or violence.
Mashi Digital may investigate suspected violations and take proportionate enforcement action.
9. User Content
"User Content" includes text, photographs, profile information, audio, video, meeting contributions, messages, comments, documents, and other materials submitted through the Services.
You retain ownership of intellectual-property rights in your User Content, subject to the rights of others.
You grant Mashi Digital a nonexclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, process, adapt for technical compatibility, and distribute your User Content solely as reasonably necessary to operate, secure, maintain, and provide the Services, comply with law, and exercise rights under these Terms.
This license is not a transfer of ownership.
It ends when the relevant content is deleted from active systems, except where continued processing is necessary for lawful retention, backups, disputes, security, or previously authorized use.
You represent that you possess the rights and permissions necessary to submit your content.
You remain responsible for your User Content and the consequences of sharing it.
Mashi Digital does not endorse User Content merely because it appears on the Platform.
We may remove or restrict content that violates these Terms, applicable law, or legitimate safety requirements.
We do not undertake to monitor every communication or guarantee the accuracy, completeness, or legality of User Content.
10. Meetings, Audio, Video, and Recording
The Platform may support live meetings, audio conferences, video conferences, chat, screen sharing, and recording.
Meeting organizers and participants must comply with applicable privacy, communications, consent, and recording laws.
Where recording is available:
- Recording must be authorized through Platform controls.
- Participants must receive appropriate notice.
- Organizers are responsible for obtaining any additional consent required by law.
- Unauthorized or covert recording is prohibited.
- Access to recordings is restricted according to applicable permissions.
- Recordings may be subject to retention and deletion policies.
Mashi Digital may use third-party infrastructure to provide live communications and recording services.
We do not guarantee that recordings, streams, or messages will always be available, uninterrupted, or recoverable.
Users must not assume a meeting is confidential merely because access is restricted. Authorized participants may disclose information or make recordings outside Platform controls in violation of rules or law.
Report suspected unauthorized recordings or disclosures promptly.
11. Community Elections and Governance Tools
Where enabled, election and voting features provide technical tools for community-administered governance.
Unless expressly agreed otherwise, Mashi Digital does not determine candidate eligibility, certify election outcomes, resolve constitutional disputes, or act as an independent election authority.
Communities are responsible for their governing documents, eligibility rules, election procedures, and lawful administration.
Mashi Digital may preserve relevant technical records and investigate suspected manipulation, unauthorized access, or misuse.
The Platform does not guarantee that any election will satisfy a particular community's legal or constitutional requirements.
12. Payments, Donations, and Paid Services
Certain features may involve subscriptions, donations, fundraising, or third-party payment processing.
Such functionality is subject to additional terms displayed before a transaction.
Unless expressly identified otherwise, Mashi Digital is a technology provider and does not act as a bank, trustee, charitable fiduciary, or guarantor of a community's fundraising activities.
Communities and fundraisers are responsible for their representations, use of funds, required registrations, reporting, and legal compliance.
Mashi Digital does not guarantee the legitimacy, tax deductibility, or intended use of third-party fundraising campaigns.
Payment processing may be provided by independent providers subject to their own terms.
Fees, refund rules, cancellation terms, and recurring billing disclosures must be presented before applicable charges.
No fee or refund limitation in these Terms overrides nonwaivable consumer protections.
13. Intellectual Property
Mashi Digital and its licensors retain all rights in the Platform, including software, design, trademarks, branding, documentation, and underlying technology.
Except as expressly permitted, Users may not copy, reverse engineer, modify, redistribute, resell, or create unauthorized derivative works from the Platform, except to the extent such restrictions are prohibited by law.
Community names, logos, and cultural materials supplied by independent communities remain subject to their respective owners' rights.
Use of the Platform does not grant ownership of Mashi Digital intellectual property.
14. Third-Party Services
The Services may rely on third-party providers for hosting, telecommunications, identity verification, payments, notifications, analytics, and audio/video infrastructure.
Mashi Digital is not responsible for independent third-party services outside its reasonable control, except where applicable law or Mashi Digital's own contractual obligations provide otherwise.
Third-party terms may apply when you interact directly with those services.
We may replace service providers when reasonably necessary, subject to our privacy and contractual obligations.
15. Service Availability and Changes
We seek to provide reliable Services but do not guarantee uninterrupted availability.
Services may be unavailable because of maintenance, internet outages, telecommunications failures, provider disruptions, security incidents, legal restrictions, or other circumstances.
We may implement reasonable changes to maintain security, improve performance, comply with law, or develop the Platform.
We may discontinue features or Services, subject to applicable notice, refund, data-access, and contractual obligations.
16. Suspension and Termination
Mashi Digital may suspend, restrict, or terminate access when reasonably necessary because of:
- Material violation of these Terms.
- Fraud or suspected unauthorized activity.
- Threats to users or Platform security.
- Legal or regulatory requirements.
- Serious abuse or harassment.
- Misuse of administrative authority.
- Repeated violations after notice.
- Discontinuation of Services.
Where appropriate and legally permissible, we may provide notice and an opportunity to appeal or remedy a violation.
We may act immediately when necessary to prevent imminent harm, security compromise, or unlawful conduct.
Users may request account closure through available account controls or by contacting us.
Termination does not automatically erase information we are legally required or permitted to retain.
Sections intended to survive termination, including intellectual property, dispute resolution, liability limitations, and lawful retention obligations, will survive to the extent permitted by law.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MASHI DIGITAL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND OTHER IMPLIED WARRANTIES TO THE EXTENT SUCH DISCLAIMERS ARE LEGALLY PERMITTED.
WE DO NOT WARRANT THAT:
- THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.
- COMMUNITY INFORMATION WILL ALWAYS BE ACCURATE.
- EVERY USER OR ADMINISTRATOR IS WHO THEY CLAIM TO BE.
- COMMUNITY DECISIONS WILL BE FAIR OR CORRECT.
- USER CONTENT WILL BE FREE FROM HARMFUL OR MISLEADING MATERIAL.
- MEETINGS OR RECORDINGS WILL ALWAYS BE AVAILABLE.
- THIRD-PARTY SERVICES WILL ALWAYS FUNCTION AS EXPECTED.
NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MASHI DIGITAL AND ITS OFFICERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE SERVICES, INCLUDING LOST PROFITS, LOST OPPORTUNITIES, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MASHI DIGITAL'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID DIRECTLY TO MASHI DIGITAL FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US $100).
THIS LIMIT APPLIES TO THE EXTENT PERMITTED BY LAW AND DOES NOT EXCLUDE LIABILITY THAT CANNOT LAWFULLY BE LIMITED, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR OTHER NONWAIVABLE OBLIGATIONS WHERE APPLICABLE.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, the limitations apply only to the extent legally permitted.
19. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Mashi Digital and its affiliates, officers, employees, and agents from third-party claims, damages, liabilities, and reasonable expenses arising from:
- Your unlawful conduct.
- Your material breach of these Terms.
- Content you submit in violation of third-party rights.
- Your unauthorized use or disclosure of another person's information.
- Your fraudulent or unauthorized administration of a community.
- Your infringement of intellectual-property rights.
This obligation applies only to the extent the claim is attributable to your conduct and does not require you to indemnify Mashi Digital for its own negligence, unlawful conduct, or other liability that cannot legally be shifted to you.
Mashi Digital will provide reasonable notice of covered claims and permit appropriate participation in their defense.
20. Dispute Resolution and Governing Law
This section requires review by qualified counsel before publication.
Before initiating formal proceedings, you and Mashi Digital agree to attempt to resolve disputes informally by providing written notice describing the dispute and requested relief.
The receiving party will have thirty (30) days to respond or attempt resolution, unless urgent relief or applicable law requires otherwise.
Subject to mandatory consumer protections and any separately agreed dispute-resolution process, these Terms will be governed by the laws of the State of Nebraska, United States, without regard to conflict-of-laws rules.
Subject to applicable law, disputes not resolved informally may be brought in the competent state or federal courts located in Nebraska.
Nothing in this section deprives consumers of nonwaivable rights or mandatory forums available under applicable law.
Optional arbitration and class-action waiver provisions should be drafted and inserted only after counsel evaluates enforceability, user locations, costs, consumer protections, and the desired dispute-resolution strategy.
21. International Users
The Platform may be accessible in multiple countries.
Users are responsible for complying with laws applicable to their conduct and community activities.
Mashi Digital may restrict access in jurisdictions where operating the Services would violate applicable law or create unacceptable compliance risks.
International users may have additional statutory rights that these Terms do not override.
22. Changes to These Terms
We may update these Terms for legal, operational, security, or product reasons.
We will publish the updated version and effective date.
Where required by law, or where changes materially affect users' rights, we will provide additional notice and obtain consent when necessary.
Changes will not be applied retroactively where doing so would be unlawful.
Continued use after legally effective notice may constitute acceptance to the extent permitted by applicable law.
23. General Provisions
If any provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Failure to enforce a provision does not waive future enforcement.
You may not transfer your rights or obligations under these Terms without authorization where consent is required.
Mashi Digital may transfer these Terms in connection with a lawful merger, acquisition, restructuring, or transfer of the Services, subject to applicable law.
These Terms, together with incorporated policies and applicable supplemental agreements, constitute the agreement governing your use of the Services.
